Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the BrewFlow platform operated by BrewFlow ("we," "us," or "our") at brewflow.app (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity.

2. Service Description

BrewFlow is a brewery operations management platform that provides batch tracking, vessel management, recipe management, guided brew day execution, quality assurance logging, and team collaboration tools for craft breweries. The Service is provided as a cloud-hosted software-as-a-service (SaaS) application.

3. Account Registration & Security

To use BrewFlow, you must create an account using a valid email address. Authentication is performed via secure magic link emails — no password is required. You are responsible for maintaining the security of your email account and for all activity that occurs under your BrewFlow account.

You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate. You must notify us immediately if you become aware of any unauthorized use of your account.

4. Free Trial

New brewery accounts receive a 14-day free trial with full access to all features. No credit card is required to start a trial. During the trial period, there is no limit on the number of vessels you may create.

At the end of the trial period, if you have not subscribed to a paid plan, your access to the Service will be restricted. Your data will be retained for 90 days after trial expiration, after which it may be permanently deleted.

5. Billing & Payment

BrewFlow uses vessel-based pricing. The current pricing structure is:

All payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. If you add vessels mid-cycle, the additional charges are prorated for the remainder of the billing period.

Prices are stated in US Dollars and are exclusive of any applicable taxes. You are responsible for all taxes associated with your use of the Service.

6. Cancellation & Refunds

You may cancel your subscription at any time through the Stripe Customer Portal accessible from your BrewFlow settings page. Upon cancellation, you will retain access to the Service until the end of your current billing period.

We do not offer refunds for partial months of service. If your subscription is in a past-due state, you have a 7-day grace period to update your payment method before access is restricted.

7. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violation of the Acceptable Use Policy may result in suspension or termination of your account.

8. Intellectual Property

Our IP: The Service, including its design, code, features, documentation, and branding, is owned by BrewFlow and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand assets without prior written permission.

Your Data: You retain full ownership of all data you input into the Service, including brewery information, recipes, batch records, measurements, and notes. We claim no intellectual property rights over your content. We will not use, share, or sell your brewery data for any purpose other than providing the Service to you.

You grant us a limited, non-exclusive license to host, store, and process your data solely to provide and improve the Service.

9. User Data & Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

10. Third-Party Services

The Service integrates with third-party services including Stripe (for payment processing) and Resend (for email delivery). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, that defects will be corrected, or that the Service will meet your specific requirements. BrewFlow is a management tool and does not replace professional brewing judgment, quality control testing, or regulatory compliance processes.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BREWFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless BrewFlow and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in English.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

15. General Provisions

Modifications: We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms with a revised date and, for significant changes, by sending an email notification. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and BrewFlow regarding the Service.

Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or the right to enforce it in the future.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
